Yesterday we covered the nuclear renaissance and the enormous power demand driving it. Today we cover the biggest corporate bet yet on that same trend. NextEra Energy is buying Dominion Energy for $66.8 billion in an all-stock deal — creating the largest regulated utility in the world by market value.

The combined company will serve about 10 million customer accounts across Florida, Virginia, North Carolina, and South Carolina. It will operate roughly 110 gigawatts of generation — spanning renewables, natural gas, nuclear, and battery storage. It will be the world’s largest renewable and storage developer, the U.S. leader in natural gas generation, and second in the nation in nuclear power. Enterprise value: about $420 billion.

But the headline number isn’t the story. The story is *why*.

Dominion’s service territory includes Northern Virginia — “Data Center Alley.” It’s the world’s largest concentration of data centers and one of the fastest-growing electricity markets on Earth. Dominion brings nearly **51 gigawatts** of contracted data-center capacity to the deal. Its customers include Amazon, Microsoft, Google, Meta, Equinix, and CoreWeave.

NextEra brings the building machine. It’s the largest utility in the S&P 500, the world’s biggest renewable developer, and it operates in 44 states. CEO John Ketchum put it bluntly: “We are the only ones out there really building across the United States.” A single AI data center campus can require a gigawatt of power — enough for three-quarters of a million homes. Some are planned at 5 gigawatts or more.

Put simply: Dominion has the customers. NextEra has the capacity to build. Together, they’re positioned to capture the single largest surge in U.S. electricity demand in decades.

**This is not an isolated deal. It’s the biggest wave in a broad reshuffling.** Constellation Energy bought Calpine for $16 billion. AES agreed to a $33.4 billion buyout led by Global Infrastructure Partners. Blackstone took TXNM Energy for $11.5 billion. Utilities are racing for scale, transmission access, and generation assets to serve the AI build-out.

The market’s reaction was telling. Dominion stock jumped 10% on the news. NextEra fell 5% — a sign investors worry NextEra is paying too much at a time when utility valuations are already inflated by AI optimism. When the buyer’s stock drops, Wall Street is questioning the price.

The bull case is scale meeting demand. NextEra can build faster than anyone. Dominion owns the most valuable data-center territory in the country. Combine them and you get a utility positioned to power the AI era for decades. The deal also pledges $2.25 billion in customer bill credits — a move designed to ease the regulatory approvals this merger will need.

The bear case is price and regulation. NextEra’s stock fell on the announcement because the market thinks it may be overpaying into an AI-inflated utility sector. Dominion carries over $44 billion in long-term debt. And utility mergers of this size face years of federal and state review. Regulators in four states and at FERC all get a say. Deals this big sometimes die in the approval process.
